What is a foreign company?
A foreign company is a company incorporated outside South Africa. If it conducts or intends to conduct business in South Africa, it may need to register with CIPC as an external company. Examples can include maintaining a local bank account, entering employment contracts, acquiring intellectual property, or carrying on other activities listed under Section 23 of the Companies Act, 2008.
Register within the required timing
CIPC guidance states that external company registration must be done within 20 business days of starting activities in South Africa. TenderPDF helps organise the supporting documents and application pack, but the official submission must follow CIPC requirements and platform rules.
Prepare the registration documents
The document pack can include a mandate authorising the filer, a directors' resolution to register in South Africa, a certified certificate of incorporation, certified governance or constitutional documents, a certified translation certificate where foreign-language documents are used, and a securities register.
